Terms of Service
These Terms of Service (the "Terms"), which include the End User License Agreement in Section 4 and the AI Features Disclaimer in Section 6, are a binding agreement between you and ImpactRetro ("we", "us") covering your use of the ImpactRetro service at impactretro.com (the "Service"). By creating an account, clicking to accept, or using the Service, you accept these Terms. If you do not agree, do not use the Service.
1. Agreement and eligibility
You must be at least 16 years old (or the minimum age of digital consent where you live, if higher) and able to form a binding contract to use the Service. If you accept these Terms on behalf of a company or team, you confirm you have authority to bind them, and "you" includes that organization.
2. The Service
ImpactRetro provides collaborative retrospective boards — columns, cards, voting, comments, action items, team and program organization, retro memory, and optional AI-assisted summaries and suggestions. Some features ("Pro" features) require a paid subscription (Section 7).
3. Your account
You need an account to create boards. Sign-in is by email one-time code or Google account. Keep your sign-in method secure; you are responsible for activity under your account. One person, one account — do not share credentials. You must provide a valid email address that you control.
4. End User License Agreement (EULA)
4.1 License grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service, including its web application and any client software we provide, for your internal team-collaboration purposes.
4.2 License restrictions
Except where the law expressly permits it despite this restriction, you may not:
- copy, modify, or create derivative works of the Service or its software;
- reverse engineer, decompile, or disassemble the Service, or attempt to extract its source code;
- rent, lease, sell, sublicense, or otherwise transfer or commercially exploit the Service or your license;
- remove or alter any proprietary notices, or use our name, logo, or branding without permission;
- use the Service to build a competing product, or benchmark it for publication without our consent;
- circumvent usage limits, plan gates, or security measures.
4.3 Ownership
The Service — including its software, design, and branding — is owned by us and our licensors and is protected by intellectual-property laws. We reserve all rights not expressly granted. This is a license, not a sale. Your content remains yours (Section 5).
4.4 Feedback
If you send us feedback or suggestions, we may use them without restriction or obligation to you.
4.5 Updates and termination of license
The Service updates automatically; features may be added, changed, or removed. This license ends when your account is deleted or these Terms are terminated (Section 11).
5. Your content
You keep ownership of everything you create in the Service — cards, comments, votes, action items, board and team names ("Your Content"). You grant us only the license needed to host, store, display, transmit, back up, and process Your Content in order to run the Service for you and your teammates, including generating AI output you request. We do not use Your Content to train AI models, and we do not sell it.
You are responsible for Your Content and must have the rights to post it. Content on a team board is visible to others with access to that board; do not post anything you are not willing to share with them.
6. AI Features and Data Restrictions
No protected health information. ImpactRetro is not designed for, and must not be used to store or process, protected health information (PHI) as defined by HIPAA or equivalent health-privacy laws. Do not enter patient or health record data into boards, cards, or comments. ImpactRetro is not a HIPAA business associate and does not sign BAAs.
Optional AI features. The Service includes optional AI-assisted features, disabled by default. No Content is transmitted to any AI model unless a user enables AI in account settings — which requires accepting the supplemental AI Feature Terms presented in the product at that time — and then invokes a suggestion. Those supplemental terms govern AI processing and output and are incorporated into these Terms by reference. AI output is machine-generated and may be inaccurate; it must be reviewed by a person before being relied on. Sections 12–13 apply fully to AI features and their output.
7. Subscriptions and billing
- Free plan. Core retrospective boards are free. Pro features (AI and retro memory, among others) require a Pro subscription.
- Pricing and renewal. Pro is billed per seat, monthly or annually, at the prices shown at checkout. Subscriptions renew automatically at the end of each billing period until cancelled.
- Payment processing. Payments are processed by Stripe; we do not store your card details. Your use of Stripe checkout is also subject to Stripe's terms.
- Cancellation. Cancel any time from Manage billing. Cancellation takes effect at the end of the current billing period; you keep Pro access until then. Except where required by law, payments are non-refundable and we do not give prorated refunds for partial periods.
- Price changes. We may change prices with notice; changes apply from your next renewal.
8. Acceptable use
- Do not post unlawful, harassing, or infringing content.
- Do not attempt to breach, disrupt, probe, or overload the Service.
- Do not access another user's boards or account without permission.
- Do not scrape, harvest data from, or resell the Service.
- Do not use the Service to send spam or distribute malware.
- Do not misuse AI features, including attempting to extract other users' data through prompts.
9. Privacy
Our Privacy Policy explains what we collect and how we handle it. By using the Service you agree to it.
10. Third-party services
The Service relies on third parties: Google (optional sign-in), Resend (email delivery), OpenRouter and its model providers (AI features), Stripe (payments), and Railway (hosting). Their services are governed by their own terms, and we are not responsible for them.
11. Termination
You may stop using ImpactRetro at any time and delete your account from your account settings; deletion permanently removes your personal boards and your contributions as described in the deletion flow. We may suspend or terminate accounts that violate these Terms, create risk for the Service or other users, or where required by law. Sections that by their nature should survive (including 4.3, 5, 12, 13, and 14) survive termination.
12. Disclaimer of warranties
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty about accuracy, reliability, or availability. We aim to keep the Service running but offer no uptime guarantee, and it may be interrupted for maintenance or reasons beyond our control. Some jurisdictions do not allow certain warranty disclaimers, so parts of this section may not apply to you.
13. Limitation of liability
To the fullest extent permitted by law: (a) we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost data, lost profits, or business interruption, arising from or relating to the Service or these Terms — including damages arising from reliance on AI output; and (b) our total aggregate liability is limited to the greater of the amount you paid us in the 12 months before the claim or US $50. Nothing in these Terms limits liability that cannot be limited by law.
14. Governing law and disputes
These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in California, and both parties consent to their jurisdiction. You will bring any claim in your individual capacity, not as part of a class action, where permitted by law.
15. Changes to these Terms
We may update these Terms. If a change is material, we will ask you to review and accept the new version the next time you sign in before you continue using the Service. The version and date above show when the Terms last changed. Continued use after an update means you accept the revised Terms.
